These Terms of Use ("Terms") govern your access to and use of the Easy Phone Help application (the "App") and related services (the "Service"), which are owned and operated by Gato Verde Ltd. (the "Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must cease using the Service immediately.

1. Definitions

For purposes of these Terms:

1.1 "Application" refers to the Easy Phone Help software provided by the Company, available for download on supported devices.

1.2 "Service" encompasses the App and any associated functionalities, support, or content provided by the Company.

1.3 "User" ("you," "your") refers to any individual or legal entity accessing or using the Service.

1.4 "Content" means any text, questions, answers, instructions, or other material provided by the User or generated by the Service.

1.5 "Subscription" refers to the recurring payment arrangement allowing access to premium features of the Service.

1.6 "Third-Party Services" refer to any external platforms, software, or resources integrated or referenced within the Service.

2. Acceptance of Terms

2.1 By downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy.

2.2 You represent that you are at least 18 years old, or, if under 18, you are using the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

2.3 The Company reserves the right to modify these Terms at any time. Material changes will be communicated at least 30 days before they take effect. Continued use of the Service constitutes acceptance of revised Terms.

3. User Accounts

3.1 Account Creation: To access certain features, you must create an account and provide accurate, complete, and current information. Failure to comply may result in suspension or termination of your account.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of unauthorized use or security breaches.

3.3 Prohibited Activities: You may not use as a username any name that:

Violates the intellectual property or privacy rights of another;
Contains offensive, vulgar, or obscene language; or
Misrepresents your identity.

4. Permitted Use of the Service

4.1 Purpose: The Service is designed to provide AI-based assistance with mobile phone and app usage. You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.2 User Content: By submitting questions or other input to the Service, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and adapt your Content for:

Improving the Service;
Training AI models; and
Providing responses to other users, as applicable.

4.3 Restrictions: You agree not to:

Submit content that is illegal, harmful, defamatory, or otherwise objectionable;
Reverse-engineer, decompile, or tamper with the App or its functionality;
Use automated tools (e.g., bots, scrapers) to access the Service without prior consent.

5. Subscription and Payment Terms

5.1 Payment Authorization: By subscribing, you authorize the Company or its payment processor to charge your payment method for the applicable fees.

Free Trial

New users are eligible for a 3-day free trial of the Plan. After the trial period, the subscription will automatically convert to a paid subscription unless canceled at least 24 hours before the end of the trial period.

Auto-Renewal and Cancellation

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

You can manage and cancel your subscriptions by following these steps:

Open the Settings app on your device.
Tap your name.
Tap Subscriptions.
Select the subscription you want to manage.
Tap Cancel Subscription.

Free Trial

Tap Payments & subscriptions
Tap Subscriptions
Select the subscription you want to manage
Tap Cancel subscription

6. Intellectual Property

6.1 Ownership: The Service, including its content, design, features, and AI-generated outputs, is protected by copyright, trademark, and other intellectual property laws. The Company retains all rights not expressly granted herein.

6.2 Restrictions: You may not reproduce, distribute, or exploit the Service’s content for commercial purposes without prior written consent.

6.3 AI-Generated Content: Content generated by the Service is for personal use only. You may not use such content for commercial purposes without express permission.

7. Disclaimers and Limitations of Liability

7.1 "AS IS" Disclaimer: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. The Company does not guarantee that the Service will:

Be error-free or uninterrupted;
Meet your specific requirements; or
Provide accurate, reliable results in all cases.

7.2 Limitation of Liability: To the fullest extent permitted by law, the Company’s liability is limited to the amount you paid for the Service in the 12 months preceding the claim or $25, whichever is greater. We are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

8. Termination

8.1 Termination by You: You may terminate your account or subscription at any time by ceasing to use the Service or canceling your subscription through your App Store account.

8.2 Termination by the Company: We may suspend or terminate your account for violation of these Terms or applicable laws, with or without notice.

8.3 Effect of Termination: Upon termination, your right to access the Service ceases immediately. Provisions regarding intellectual property, disclaimers, and liability limitations survive termination.

9. Governing Law and Dispute Resolution

9.1 These Terms are governed by the laws of the state of New York, USA, excluding conflict-of-law principles.

9.2 Dispute Resolution: Users agree to attempt informal resolution of disputes by contacting info@gatoverde.ai. If unresolved, disputes may be submitted to binding arbitration, unless prohibited by local law.

10. Miscellaneous

10.1 Severability: If any provision is deemed invalid or unenforceable, the remaining provisions remain in effect.

10.2 Waiver: Failure to enforce a provision does not constitute a waiver of that provision.

10.3 Third-Party Services: The Company is not responsible for external services linked to or integrated with the Service. Use of such services is at your own risk.

10.4 Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding your use of the Service. All rights not expressly granted are reserved.
